Definitions

Unlessotherwisedefinedinthisagreementandanyreferencetolegislation,thefollowingtermsandexpressionswillhavethefollowingmeanings:

1.ShareholderRights：

GiventheTransferorhassubscribedtotheregisteredcapitaloftheCorporationandisaregisteredshareholderonthecorporaterecord,ShareholderRightsmeansthebenefitofallrightsattachedoraccruingtotheregisteredcapitalpursuanttothelawsofP.R.ChinaandtheArticlesofAssociationoftheCorporation.

2.RegisteredCapital:

RegisteredCapitalmeansthetotalamountofthepaid-upcapitalcontributionsofallshareholdersoftheCorporationasregisteredwiththecompanyregistrationauthority.

3.TheTransaction:

TheTransactionmeanstheassignmentandtransferof25%equityinterestintheCorporation,whichisaSino-ForeignEquityJointVentureestablishedpursuanttothelawsofChina,beneficiallyownedbytheTransferorinfavouroftheTransferee.

4.GoverningLawsandRegulations:

GoverningLawsandRegulationsmeansalllawsandregulationsadoptedbytheGovernmentofPeople'sRepublicofChinaandallcodes,practicesandobligationsimposedbyallapplicablegoverningauthorities,inwritingorotherforms,priortoandincludingtheeffectivedateofthisAgreement,includingbutnotlimitedtoCompaniesLawofthePeople'sRepublicofChina,theLawofthePeople'sRepublicofChinaonSino-foreignEquityJointVentures,theImplementationRulesforLawofthePeople’sRepublicofChinaonChinese-ForeignEquityJointVentures,etc.

ARTICLESI-TRANSFEROFOWNERSHIP

1.PartyBshallassignandtransferuntoPartyAthe25%equityinterestintheCorporation,whichisaSino-ForeignEquityJointVentureestablishedpursuanttothelawsofChina,beneficiallyownedbyPartyB.

2.ThetransferofownershipofthePurchasedEquityInterestshallbeeffectiveasofthe___dateof_____,20__.
